Steps of a fund liquidation in details
Pre-liquidation phase
Together with your lawyers and the board of directors, we assist you in the process of decision to liquidate, nomination of the liquidator, CSSF notification and organisation of the liquidation EGM.
Official decision to liquidate
Together with your lawyers and the board of directors, we assist you for the meeting with the notary, approval of the dissolution and liquidation mode, decision of appointment of both the liquidators and the auditors of the liquidation
Realisation of assets
We now take the lead on the liquidation. We operate the following actions: -termination and final settlement of all contracts – realisation of all assets and payables, – currency conversions, -resolution of any technical or operational pending issues – preliminary cash payments to investors – preparation of the final NAV and the liquidation report -communication with the CSSF – Audit report analysis
End of the liquidation phase
Together with the fund’s lawyer, we organise the convening of the EGM to ratify the below resolutions: – approval of the liquidator’s report – approval of the auditor’s report – closing of the accounts – discharge to the liquidator and auditor – approval of the final liquidation bonus to the investors
Post-liquidation phase
We organise the necessary closing reporting : – payment of the final proceeds – Legal filings (RCS, Memorial) and de- registrations – Tax filings (if needed) – Closing of bank accounts – liquidation closing reporting to all parties (including CSSF)
